A special meeting of the Schuylkill Township Board of Supervisors was held on Wednesday, December 28, 2016 in order to conduct a public hearing concerning the proposed acquisition of a conservation easement on 19.48 +/- acres on a portion of tax parcel no. 27-6-1217 located on the North side of Pawling Road and East side of Revolutionary Boulevard. Members of the Board of Supervisors present were Mr. Fred Parry, Mrs. Barbara Cohen and Mr. James Morrisson constituting a quorum of the Board. Ms. Susan Guerette and Ms. Martha Majewski were not in attendance. Also present were the Assistant Township Manager/Secretary Mrs. Madeline Harbison, and the Township Solicitor, Mr. William Brennan, Esq. Mr. Robert Mauch, Chair of the Schuylkill Township Open Space Commission and Mr. Jack Stefferud of The Natural Lands Trust also attended.
Present for the Valley Forge Meadows Company, Inc. were Mr. James A. Nolen, III, and Mr. John Snyder, Esq. and Mr. George Asimos, Esq. of Saul Ewing L.L.P.
The meeting was called to order at 4:00 P.M. by Chairman Fred Parry. Supervisor Parry led the Pledge of Allegiance. Supervisor Parry explained the purpose of this special meeting was to consider the purchase of a conservation easement on a portion of a property owned by the Valley Forge Meadows Company, Inc. on Pawling Road in Schuylkill Township. Supervisor Parry relinquished the Chair to Mr. Brennan to conduct the public hearing.
Mr. Brennan called the public hearing to order at 4:05 p.m. The proceedings were recorded by Mr. Thomas Corcoran, Court Reporter and the transcript of the hearing is incorporated herein by reference. Mr. Brennan stated the public hearing was called to allow the public an opportunity to comment on the possible purchase of a conservation easement on a portion of tax parcel 27-6-1217, a property owned by the Valley Forge Meadows Company, Inc. and advised the public hearing had been advertised in The Pottstown Mercury on December 16, 2016 and December 21, 2016. Mr. Brennan invited Mr. Mauch to address the Board with a summary presentation of the proposed transaction. Mr. Brennan asked the Board for comments. Mr. Parry asked for clarification on certain points of the conservation easement agreement which was provided by Mr. Snyder. Mrs. Cohen questioned the appraisal; Mr. Mauch replied that the property had been appraised numerous times by different appraisers. Mr. Morrisson stated the conservation easement agreement had been vetted by numerous lawyers, The Natural Lands Trust and the Schuylkill Township Open Space Commission. Mr. Brennan asked for public comment. Mr. Morris Quigg, 520 Valley Park Road, asked if the property would have public access and if the section of the property on which the conservation easement would lie was capable of being developed under township ordinances. Mr. Mauch responded that the easement agreement neither prohibited nor specified public access. Mr. Brennan stated there were conflicting opinions about whether that portion of the property could be developed. Mr. Ronald Motzer, 147 Forge Hill Lane, asked who would own the property once the conservation easement was purchased. Mr. Mauch explained that the property would still be owned by Valley Forge Meadows Company, Inc. or its assignee(s) but that the township would own the development rights on the portion of the property covered by the conservation easement. Mr. Brennan called for any further comments. Mr. Quigg stated that he feels township money is being wasted on these 19 acres. There being no further public comment, the public hearing was closed at 4:25 P.M.
Mr. Brennan requested that the Board entertain a motion to accept and approve the conservation easement agreement with Valley Forge Meadows Company, Inc.
Upon motion by Mr. Morrisson, seconded by Mrs. Cohen, and passed, the Board of Supervisors of Schuylkill Township approved and accepted the Grant of Conservation Easement Agreement by and between Valley Forge Meadows Company, Inc and Natural Lands Trust, Inc. for an easement on a portion of UPI #27-6-1217 as described in Exhibit A of said agreement and depicted on the Conservation Easement Survey Plan, Sheet 01, dated December 22, 2016 and hereby agrees to tender the sum of two hundred twenty thousand dollars ($220,000.00) for the purchase of the conservation easement.
Mr. Brennan announced that the closing for the conservation easement transaction would take place the following day, Thursday, December 29, 2016 at 1:30 p.m.
Upon motion by Mr. Parry, seconded by Mrs. Cohen and passed, the Board of Supervisors of Schuylkill Township appointed Mr. Morrisson as the authorized and designated township representative and signatory for the conservation easement agreement and closing transaction.
There being no further business before the Board of Supervisors, the meeting was adjourned at 4:35 P.M. upon motion by Mrs. Cohen, seconded by Mr. Parry, and passed.
